00 · The Strategic Posture
The Problem in Today's Brokerage Market
Building a Next-Generation Brokerage Platform
A leaner, more agile brokerage, built on senior expertise and deep industry connectivity.
Legacy inefficiency
High costs and complexity limit margins and speed.
Talent gap
A clear gap between small senior teams and large pools of junior talent.
Our advantage
A seasoned team, deep relationships and proven execution capability.
Thesis
Build a high-performance brokerage that delivers greater speed, efficiency and value, without the structural burden of the legacy model.
01 | Market Inefficiency
A legacy model built for another era
High fixed costs and excessive infrastructure squeeze margins and slow decisions.
Signal: Buyer expectations have moved faster than the houses can adapt.
02 | Exceptional Talent
Proven professionals with deep connectivity
A senior team combining market expertise, sales capability, deep relationships and standout digital marketing.
Signal: The strongest producers increasingly want ownership of their client work.
03 | Superior Execution
Streamlined brokerage. Zero bureaucracy.
A lean, deal-focused platform built to originate, qualify and close with speed and precision.
Signal: Decision cycles compress when the senior team owns every step.
Structural Levers
What makes the model work
Four operating choices that compound into a structural cost and speed advantage from day one.
Senior-only headcount
Eight specialists on day one. No juniors to train, manage or subsidise.
No office in Year 1
Phase 1 runs remote. Rent only enters from M13, when revenue justifies it.
Tight capital footprint
€300k seed covers the full back-office build, with every euro tied to a defined month.
Three revenue engines
Brokerage, charter and management, all on industry-standard terms.

02 · Client Reality
"We don't want a broker. We want an advisor who owns the outcome."
Owner · 65m · repeat client
What owners & charterers actually want
A better experience. A better outcome. One trusted advisor.
The modern yacht client is buying more than a transaction. They want expertise, responsiveness and complete ownership from someone who genuinely understands their needs.
01 · Value
The best outcome
Commercially astute advice focused on the right deal.
Right yacht for the objective, not the inventory
Pricing based on real market depth
02 · Service
Effortless execution
Fast, proactive and solutions-led from start to finish.
One senior owner per mandate
Issues resolved before they surface
03 · Trust
One advisor, total confidence
A single trusted relationship across the ecosystem.
Independent view across yacht, charter, management
Relationships that outlast any single deal

Revenue mix at break-even · illustrative
Sales
MYBA sliding scale
10% on the first €10M, 5% on the next €10M, 2.5% above: the MYBA industry standard.
Charter
15% net · 5% net mgt
15% net on each booked charter week. Where Meridian also holds the central management mandate, we add 5% net on the underlying charter revenue, scaled by a 7-month Mediterranean season.
Investors and friends will receive significantly reduced charter fees, with commissions used to offset charter rates.
Management
Full mgmt fee
Meridian will grow the management fleet and focus on Operations, Technical, Compliance and financial services.

07 · Regulatory & Compliance
Built to Monaco's AML/CFT standard from day one.
Law No. 1.362
Monaco's yachting professionals framework — licensing, KYC and ongoing supervision by the Commission de Contrôle.
Monegasque AML/CFT
Customer due diligence, transaction monitoring and SAR procedures — embedded in the back-office build.
Flag-state coordination
Cayman, Marshall Islands, Malta and BVI registries — documentation and ownership verification for cross-border sales.
MYBA & IYM standards
Central Agency Agreement, MYBA Charter Party and IYM management contracts — the documents our team has signed for decades.
Compliance is an operating line in our P&L — €3,000 a month from M1 — not a project we run after the fact.

10 · What Your Investment Delivers
What your investment unlocks: break-even at M18, €2.5M Y2 revenue, clean equity, scarcity value.
Four returns on a single check, each sized to a milestone an investor can underwrite.
Pillar 01
Financial Upside
Capital recycles fast
Break-even at 18-Months. Each tranche sized to the milestones ahead, not the milestones we hope to hit.
€2.5M Y2 revenue target across three commission lines, with EBITDA positive from M11.
€2.5M
Y2 revenue target
Pillar 02
Growth Exposure
Three lines, one book
Brokerage, charter, management. Revenue compounds as the senior platform opens more doors.
Headcount 6 to 12 by M15, as the client book scales 9× across all three lines.
6 to 12
Headcount by M15
Pillar 03
Equity Ownership
Clean cap table
Founders keep operating control. Investors hold preferred equity with standard anti-dilution.
Two tranches, clear milestones. No hidden dilution rounds between Phase 1 and Y3.
2
Tranches to scale
Pillar 04
Strategic Upside
Scarcity value
A senior platform, not a junior ladder. Hard to replicate.
Adjacent acquirers would notice. Immediate client database on day one.

06 · Risk & Mitigation
If the first 12 months slip, here is what we do.
Slower deal velocity
Likelihood · Med
Closed-deal cadence below plan. Built-in mitigations: four founders each carry an independent pipeline, so a slow quarter in one segment is absorbed by the other three.
Charter season underperforms
Likelihood · Med
Quiet season or fewer Mediterranean weeks. Built-in: management retainers are contract-based and weather-independent; sales activity continues year-round.
Hire ramp delayed
Likelihood · Low
Senior talent hard to find in tight market. Built-in: founders absorb the gap; variable comp scales hiring with revenue, not the calendar.
Regulatory shift in Monaco
Likelihood · Low
New licensing, AML or flag-state rules. Built-in: built to Law No. 1.362 standard from day one; compliance is an operating cost, not a project.
The Plan
A Phase 1 raise that is runway-tight by design, not runway-rich by hope. The plan absorbs a slow first quarter without a follow-on round.
